1. Platform Overview
TradeForge Construction & Equity Inc. ("TradeForge," "we," "us," or "our") operates a construction operations platform that connects project owners, builders, contractors, suppliers, and service providers through structured project environments. TradeForge acts as a platform facilitator — we do not directly perform construction work through the platform marketplace, nor do we guarantee the performance of any third-party contractor or supplier listed on the platform.
2. Account Registration and Eligibility
To use certain features of the platform, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must be at least 18 years of age to create an account. By registering, you represent that all information provided is truthful and that you have the legal authority to enter into this agreement.
3. Platform Usage Rules
You agree to use TradeForge only for lawful purposes related to construction project management, procurement, coordination, and related business activities. You may not:
- Use the platform to misrepresent your qualifications, licensing, or insurance status
- Post false, misleading, or fraudulent project listings or company profiles
- Interfere with or disrupt the platform's infrastructure or other users' access
- Scrape, harvest, or collect data from the platform without written authorization
- Use the platform to solicit users for competing services outside of TradeForge
- Upload content that is defamatory, obscene, or infringes on third-party rights
4. Builder and Contractor Responsibilities
Contractors and builders using the platform are responsible for:
- Maintaining valid licensing, insurance, and WSIB compliance as required by Ontario law
- Providing accurate representations of their trade qualifications and experience
- Completing project work in accordance with agreed-upon scopes and timelines
- Communicating project updates through the platform's designated channels
- Complying with all applicable building codes, safety regulations, and municipal bylaws
TradeForge does not verify contractor credentials beyond the information provided at registration. Project owners are responsible for conducting their own due diligence before engaging any contractor.
5. Project Listing Rules
Project listings must accurately describe the scope, location, timeline, and budget range of the proposed work. Listings must not contain misleading information about project conditions, funding availability, or approval status. TradeForge reserves the right to remove listings that violate these rules or that we determine, in our sole discretion, to be inappropriate for the platform.
6. Subscriptions and Billing
TradeForge offers subscription plans that provide access to platform features and tools. By subscribing, you agree to the following:
- Subscription fees are billed on a recurring basis (monthly or annually) as specified at the time of purchase
- All fees are quoted in Canadian Dollars (CAD) unless otherwise stated
- Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
- Price changes will be communicated at least 30 days in advance of taking effect
- You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period
- No prorated refunds are provided for partial billing periods
7. Payment Processing
All payments on TradeForge are processed securely through Stripe, a PCI-compliant third-party payment processor. TradeForge does not store your credit card or banking information on our servers. By making a payment, you agree to Stripe's Terms of Service and Privacy Policy. You are responsible for ensuring that your payment method is valid and has sufficient funds for all charges.
8. Intellectual Property
All content, design, code, graphics, logos, and trademarks displayed on the TradeForge platform are the property of TradeForge Construction & Equity Inc. or its licensors and are protected by Canadian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any platform content without prior written consent. Content you upload to the platform (project photos, documents, descriptions) remains your property, but you grant TradeForge a non-exclusive, royalty-free license to use, display, and distribute that content as necessary to operate the platform.
9. Limitation of Liability
To the maximum extent permitted by applicable law, TradeForge Construction & Equity Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform. This includes, without limitation, damages for loss of profits, data, business opportunities, or goodwill. TradeForge's total liability for any claim arising under these terms shall not exceed the total fees paid by you to TradeForge in the twelve (12) months preceding the claim. TradeForge does not guarantee the quality, safety, legality, or timeliness of work performed by contractors or suppliers found through the platform.
10. Dispute Resolution
Any disputes arising from these terms or your use of the platform shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree to first attempt to resolve any dispute informally by contacting us at info@tradeforgeconstruction.com. If a dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in Brantford, Ontario, in accordance with the Arbitration Act, 1991 (Ontario). Disputes between platform users (e.g., between a project owner and contractor) are the responsibility of the parties involved. TradeForge may offer mediation tools but is not obligated to resolve third-party disputes.
11. Account Termination
TradeForge reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms of Service, is harmful to other users or the platform, or is otherwise inappropriate. You may also delete your account at any time by contacting support. Upon termination, your right to access the platform ceases immediately. Any fees paid prior to termination are non-refundable unless otherwise required by law.
12. Modifications to Terms
TradeForge may update these Terms of Service at any time. Material changes will be communicated via email or a notice on the platform. Your continued use of the platform after changes take effect constitutes acceptance of the revised terms. We recommend reviewing this page periodically.
